Sovereign Institutional License

General overview

The Sovereign Institutional License grants a temporary and conditional right of access to a proprietary risk governance protocol, designed exclusively for large-scale financial institutions operating in regulated environments.

This license does not constitute, under any circumstances, a sale, assignment or disclosure of technology, software, methodology or intellectual property.

Access is granted solely as a revocable institutional privilege, governed by strict eligibility, non-competition and compliance criteria.

Nature of the protocol

The licensed system operates as a sovereign layer of risk and behavior governance, deployed above execution infrastructures and human decision-making processes.

It includes, in particular and without limitation:

• — a proprietary behavioral scoring system (black box),
• — a centralized risk governance engine,
• — a secure institutional terminal,
• — continuous monitoring and execution mechanisms,
• — real-time intervention and suspension capabilities.

Eligibility

• ✓ regulated banks and banking groups,
• ✓ regulated financial institutions,
• ✓ hedge funds and asset managers operating within an institutional framework,
• ✓ equivalent regulated financial entities.

• ✕ any prop firm or similar structure,
• ✕ any simulated or retail funded trading model,
• ✕ any challenge, evaluation, payout or split-type activity,
• ✕ any retail trading platform or service,
• ✕ any entity acting on behalf of, affiliated with or functionally equivalent to the above structures.

License framework

Non-competition and restrictions

The licensee undertakes, in particular, to refrain from any direct or indirect competing use.

The licensee is prohibited from reproducing, deriving or internalizing an equivalent system.

The licensee is prohibited from using the protocol for purposes or within sectors that are excluded.

The licensee undertakes to maintain strict confidentiality over all observed behaviors, outputs and mechanisms.

Intellectual property and sovereignty

All intellectual property rights, methodologies, logic, scoring models and execution mechanisms remain the exclusive property of the licensor.

The licensee acquires no explicit or implicit ownership right, nor any future right.

The protocol may be modified, updated, restricted or interrupted unilaterally.

Pricing

License fee: $10,000,000 per year

Jurisdiction and dispute resolution

private international arbitration,

neutral jurisdiction,

contractual reference version in the English language.
